These Terms and Conditions govern your use of the garudalexes website and the engagement of our legal advisory services. By accessing our website or engaging our services, you agree to be bound by these terms. Please read them carefully before proceeding.
1. Definitions
"We", "Our", "Us" refers to garudalexes, a legal practice operating in Bangkok, Thailand.
"You", "Your", "Client" refers to any individual or organisation accessing our website or engaging our legal services.
"Services" refers to the legal advisory services we provide, including BOI investment promotion applications, joint venture and partnership structuring, and anti-corruption compliance programme development.
"Website" refers to all web pages accessible at garudalexes.pro and its subdomains.
"Agreement" refers to these Terms and Conditions together with any engagement letter or service agreement executed between parties.
2. Acceptance of Terms
By accessing or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Your continued use of the website following such changes constitutes acceptance of the modified terms.
3. Scope of Services
garudalexes provides legal advisory services in three principal areas:
BOI Investment Promotion Applications: Facilitation of applications to the Thailand Board of Investment, including eligibility assessment, project plan preparation, submission management, and post-approval compliance advisory.
Joint Venture & Partnership Structuring: Advisory on formation and governance of joint ventures and partnerships under Thai law, including agreement drafting and structural options assessment.
Anti-Corruption & Whistleblower Policy: Development and implementation of compliance programmes aligned with Thai and international frameworks.
Services are provided subject to execution of an engagement letter specifying scope, fees, timeline, and deliverables. Information provided on our website is for general reference only and does not constitute legal advice.
4. Formation of Attorney-Client Relationship
An attorney-client relationship is formed only upon execution of a formal engagement letter signed by both parties. Submission of enquiry forms, email communication, or initial consultations does not create an attorney-client relationship or impose duties of confidentiality or conflict checking.
We reserve the right to decline representation or terminate existing engagements where conflicts of interest exist, capacity limitations prevent adequate service, or other professional considerations make continued representation inappropriate.
5. Fees and Payment Terms
Service fees are established on a fixed-fee basis as specified in individual engagement letters. Current standard fees are:
- BOI Investment Promotion Applications: ฿48,000
- Joint Venture & Partnership Structuring: ฿38,000
- Anti-Corruption & Whistleblower Policy: ฿30,000
Fees are payable in Thai Baht and are due according to the payment schedule specified in the engagement letter, typically 50% upon engagement commencement and 50% upon completion of deliverables.
Additional costs may arise for third-party expenses such as government filing fees, translation services, or courier charges. Such costs will be discussed and approved before being incurred.
Late payment may result in suspension of services and assessment of interest charges at the rate of 1.5% per month on outstanding amounts.
6. Client Responsibilities
Clients engaging our services agree to:
Provide Accurate Information: Supply complete, accurate, and timely information necessary for service delivery. Failure to provide accurate information may compromise service quality and outcomes.
Timely Communication: Respond to requests for information or feedback within reasonable timeframes to avoid delays in service delivery.
Maintain Confidentiality: Protect confidential information about our practice, methods, and other clients that may be disclosed during the course of engagement.
Comply with Advice: While we provide professional advisory, implementation of recommendations remains the client's responsibility. We are not responsible for outcomes arising from failure to implement our advice or from actions taken contrary to our recommendations.
7. Confidentiality
We maintain strict confidentiality of client information in accordance with professional duties imposed by the Lawyers Council of Thailand. Confidential information will not be disclosed to third parties except:
- Where required by law or court order
- With your explicit written consent
- Where disclosure is necessary for service delivery (e.g., to regulatory authorities in connection with applications)
- To professional advisors or service providers subject to confidentiality obligations

8. Intellectual Property
All content on our website, including text, graphics, logos, and design elements, is owned by or licensed to garudalexes and is protected by copyright and intellectual property laws.
You may view and download website content for personal, non-commercial use only. Reproduction, distribution, or commercial use of website content requires prior written permission.
Documents prepared for clients during engagements belong to the client upon full payment of fees. However, we retain the right to keep copies for our records in accordance with professional retention requirements.
9. Limitation of Liability
Our services are provided on the understanding that we are furnishing legal advisory, not providing specific outcomes. While we exercise professional care and diligence, we cannot provide assurances regarding:
- Approval of applications or submissions by third-party authorities
- Specific timelines for regulatory processing
- Commercial outcomes from implementation of legal structures
- Future changes in laws or regulations
Our liability for any claim arising from services provided is limited to the total fees paid for the specific engagement giving rise to the claim.
We exclude liability for indirect, consequential, or special damages including loss of profits, business interruption, or loss of opportunities.
Nothing in these terms limits liability for fraud, gross negligence, or matters where limitation is prohibited by law.
10. Website Use and Disclaimer
Information on our website is provided for general reference purposes only and does not constitute legal advice. Reliance on website content without engaging our services is at your own discretion.
While we make reasonable efforts to maintain website accuracy, we do not warrant that content is complete, current, or free from errors. Legal and regulatory frameworks evolve, and website content may not reflect the most recent developments.

Either party may terminate a service engagement by providing written notice. Termination provisions, including notice periods and final billing, will be governed by the specific engagement letter.
Upon termination, we will provide copies of work completed to date upon payment of all outstanding fees. You remain responsible for fees for services performed prior to termination.
We reserve the right to terminate immediately if payment obligations are not met, if you provide materially false information, or if continuation of representation would violate professional conduct rules.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from use of our website or engagement of our services shall be subject to the exclusive jurisdiction of Thai courts.
In the event of a dispute, parties agree to first attempt resolution through good faith negotiations. If negotiation proves unsuccessful, the matter may be referred to mediation before pursuing litigation.
13. General Provisions
Entire Agreement: These Terms and Conditions, together with any engagement letter and our Privacy Policy, constitute the entire agreement between parties regarding website use and service engagement.
Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision or of the right to enforce it in the future.
Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent.
Notices: All formal notices should be sent in writing to the address specified below or to the email address provided in engagement letters.
